Welcome to the Beames CST Affiliate Program. We offer a unique opportunity for you to earn commissions while helping us reach new students who wish to enroll in an Eligible Course (defined below). Before you begin, please carefully review and agree to these Terms and Conditions, which establish the rules for joining our Affiliate Program. We're committed to ethical marketing practices and regulatory compliance, and we're excited to work together for mutual success.
Effective Date: August 13, 2024
1.1. "Affiliate" "you" or "your" means the individual named below or, more broadly, those individuals participating in the Beames CST Affiliate Program, as the case may be.
1.2. "Affiliate Link" means the affiliate link or promo code provided by Beames to their Affiliates.
1.3. "Affiliate Program" refers to the Beames CST Affiliate Program through which affiliates promote Beames' products or services.
1.4. "Beames", or "We" refers to Beames Massage Therapy Professional Corporation, which is the company offering the Affiliate Program.
1.5. "Commission" refers to the compensation paid to the Affiliate for successful referrals.
1.6. "Eligible Course(s)" means the Beames CST Foundations course and the Infant CST Level 1 course, and/or any other course that Beames deems an Eligible Course, as the case may be.
1.7. "Referee" means an individual who applies for and enrolls in Eligible Course using your Promo Code.
2.1. Eligibility: To become an Affiliate, you must either be enrolled in any of the Beames CST courses or certification programs, or you must have completed any of the Beames CST courses or certification programs (each an "Eligible Applicant"). Those who are an Eligible Applicant must complete the affiliate application and agree to these Terms and Conditions.
2.2. Approval: We want to ensure that each Affiliate is a proper fit to represent the Beames brand. As such, we reserve the right to accept or reject any affiliate application at our discretion.
2.3. Affiliate Link: If you are accepted into the Affiliate Program, you will be given an Affiliate Link. Referees must you use your Affiliate Link for you to receive Commission. Your Affiliate Link may only be used by those who applying for enrollment in an Eligible Course. The Affiliate Link will not work with existing students of, or those already enrolled in, an Eligible Course. In order for you to earn Commission, Referees using your Affiliate Link must first complete an application, be accepted into, and then enroll in an Eligible Course by paying the course fees. You will not receive Commission for those Referees who apply for enrollment in an Eligible Course but are not accepted into an Eligible Course, or for those Referees who fail to pay the course fees. Referees must use your Affiliate Link when applying for an Eligible Course in order for you to receive your Commission. In no event will Beames be responsible for paying you Commission if your Referees do not apply using your Affiliate Link, even if you referred them and are responsible for their application. For example, you will not receive Commission for a Referees if you provide your Affiliate Link to a Referee, and the Referee applies for enrollment into an Eligible Course but forgets to, or do not use, your Affiliate Link when submitting their application. Thus, it is your responsibility to ensure your Referees use your Affiliate Link when applying.
2.4. Use of Cookies: It is your responsibility to ensure that your Referees have cookies turned on when applying for an Eligible Course. If cookies are not turned on by your Referee, your Affiliate Link may not work, and the Referee may not be registered with your Affiliate Link. You will not receive Commission if your Referee does not have their cookies turned on when applying for an Eligible Course.
3.1. Commissions: Affiliates will be paid a Commission equal to 10% of the course fee for any Eligible Course your Referee enrolls in. In order to receive Commission, your Referee must (a) apply to an Eligible Course using your Affiliate Link, (b) be accepted into the Eligible Course, and (c) pays their Eligible Course's course fee. Course fees are either paid in full upon acceptance or paid in monthly installments.
3.2. General Payment Rules: Commission shall be paid out via PayPal within 10 days following the end of the month in which an Affiliate's Referee paid their most recent installment for their Eligible Course. For example, if your Referee is accepted into an Eligible Course and pays their course fees (or first installment thereof) in April, you will receive your Commission in May. If your Referee is accepted into an Eligible Course in April and pays their course fee (or their first installment thereof) in May, you will receive your Commission in June. If your Referee elects to pay their course fee in monthly installments, you will receive your Commission only on the amount of the course fee paid for that month, and the payout will occur in the following month in which the most recent tuition installment was paid.
3.3. PayPal Fees: PayPal fees will be deducted from the total amount payable to you each month. Beames is not responsible for covering PayPal fees.
3.4. Payment Conditions: In order to receive your Commission, your Referee must have paid their course fee (or monthly installment) in full. If, for example, your Referee pays only 50% of their monthly course fee installment, you will not receive Commission until the full amount due for that month has been paid. If your Referee fails to pay their monthly installment, or any portion thereof, you will not receive your Commission until your Referee's monthly installment is paid in full. Unpaid Commission carries over to the next payment cycle until your Referee's account is brought up to date.
3.5. Currency and Exchange Rate: Commission is earned in the same currency that your Referee used to pay for their course fee. The current exchange rate of the day will be used to calculate any currency exchanges and is likely to fluctuate.
3.6. No Discounts: The Commission is the only remuneration you will receive. You will not receive a discount for your own course fees, or for other fees associated with any other programs or courses offered by Beames.
4.1. Promotion: Affiliates play a crucial role in representing Beames and as such, they commit to promoting our products and services in a manner consistent with our brand guidelines and in full compliance with applicable laws and regulations. This means maintaining the high standards that define our brand identity and ensuring that all marketing efforts align with legal and ethical considerations.
4.2. Compliance: We expect our affiliates to be diligent in adhering to all relevant laws and regulations governing their activities. This includes, but is not limited to, adhering to anti-spam laws, respecting user privacy, and respecting intellectual property rights. Your commitment to legal compliance is essential to maintaining the integrity of our affiliate program.
4.3. Ethical Practices: At Beames, we value ethical marketing practices. Affiliates are not only expected to adhere to the law but also to engage in marketing efforts that are fair, honest, and transparent. Misleading or deceptive advertising practices are strictly prohibited, as they undermine the trust we aim to build with our students.
5.1. Marketing: Affiliates may promote Beames or the Eligible Courses by creating a page or blog post on their website, or by attaching a link to the application page or the Beames website on any of their social media accounts. However, Affiliates may not create a third-party website dedicated to promoting Beames or the Eligible Courses.
5.2. Removal Upon Request: By signing these Terms and Conditions, you agree to remove any content or links pertaining to Beames or the Eligible Course immediately upon request by Beames. Without limiting the foregoing, you may be asked to remove your content or links if it is discovered that you have made disparaging comments towards Beames, any of its employees or contractors, an Eligible Course, any other courses, products, or services offered by Beames. Similarly, you may be asked to remove any content or links if it is discovered that your website or social media page contains any inappropriate content, which shall be determined by Beames in its sole discretion.
6.1. Fraud: The integrity of our program is of utmost importance. Affiliates are strictly prohibited from engaging in fraudulent activities, such as click fraud, cookie stuffing, or incentivized referrals. Engaging in such activities will result in immediate termination of the Affiliate's participation in the Affiliate Program.
6.2. Trademark Use: Unauthorized use of Beames' trademarks, trade names, or intellectual property is not permitted. Affiliates must seek prior written consent before using any of our branding materials, ensuring that they do so within the bounds of intellectual property law.
6.3. Misrepresentation: To maintain the trust and reputation we've built, affiliates shall not make false or misleading claims about Beames, including, but not limited to, the Eligible Courses. Any such misrepresentation could result in termination from the Affiliate Program.
7.1. Termination: Beames reserves the right to terminate an Affiliate's participation in the Affiliate Program if they violate these Terms and Conditions. This termination is at the sole discretion of Beames. Some actions that may result in termination of an Affiliate's participation in the Affiliate Program include, but are not limited to: (a) breaches of these Terms and Conditions, (b) breaches of any of Beames' Code of Conduct or Guidelines, (c) promoting objectional materials in association with Beames, (d) disparagement or otherwise harming the goodwill of the Beames brand, (e) revocation or suspension of an Affiliate's certification as an Infant Craniosacral Therapist, (f) if an Affiliate is a student and is removed from any of Beames' courses, or (g) any act or omission that Beames deems, in its sole discretion, grounds for terminating an Affiliate's participation in the Beames CST Affiliate Program .
7.2. Notice: In the event of termination, Beames will provide notice to the Affiliate, outlining the reasons for the termination. Unpaid Commissions may be forfeited upon termination, at the sole discretion of Beames.
8.1. Modification: Beames may, from time to time, make updates or modifications to these Terms and Conditions. In such cases, affiliates will be duly notified of any changes. Continued participation in the affiliate program indicates acceptance of the revised terms, ensuring transparency and consistency in our partnership.
9.1. Beames is not liable for any damages or losses that Affiliates may incur as a result of their participation in the program. While we aim to provide a productive and mutually beneficial partnership, we cannot be held responsible for unforeseen events or individual actions that may lead to losses or damages. Any liability that Beames may have pursuant to these Terms and Conditions and the Affiliate Program is limited to the amount of Commission paid to you in the previous twelve months preceding the act that gave rise to liability.
10.1. You agree to indemnify, defend, and hold harmless Beames, its officers, directors, employees, agents, and affiliates, from and against any and all claims, actions, suits, demands, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to any breach by the Affiliate of these Terms and Conditions, including but not limited to any violation of applicable laws, regulations, or third-party rights. This indemnity obligation shall survive the termination or expiration of your participation in the Affiliate Program.
11.1. These Terms and Conditions are governed by the laws of Province of Ontario and the federal laws of Canada therein.
